1. Acceptance of These Terms

These Website Terms of Use (these “Terms”) are entered into by and between you and Poly API Corporation (“Poly,” “we,” “our,” or “us”). These Terms govern your access to and use of Poly’s public websites, webpages, developer resources, public documentation, white papers, blogs, videos, forms, communities, and other online materials that link to these Terms, including https://polyapi.io/ and docs.polyapi.io (collectively, the “Website”).

Please read these Terms carefully before using the Website. By accessing or using the Website, or by clicking to accept these Terms where that option is made available, you accept and agree to be bound by these Terms and by Poly’s Privacy Policy and Cookie Policy, which are incorporated by reference. If you do not agree to these Terms, you must not access or use the Website.

You may use the Website only if you are at least 18 years old and are legally able to form a binding contract with Poly. If you access or use the Website on behalf of a company or other entity, you represent that you have authority to bind that entity, and references to “you” include that entity.

2. Relationship to Customer Agreements and Product Terms

These Terms apply to general use of the Website. They do not govern your or your organization’s access to or use of Poly’s paid, trial, beta, or evaluation products, platform, APIs, SDKs, software, cloud services, support services, professional services, or other customer services (collectively, the “Poly Services”), except to the extent the applicable customer agreement expressly incorporates these Terms.

The Poly Services are governed by the applicable master services agreement, online terms of service, order form, statement of work, support policy, data processing addendum, beta or evaluation terms, or other written agreement between Poly and the applicable customer or authorized user (collectively, the “Customer Agreement”). If these Terms conflict with a Customer Agreement, the Customer Agreement controls with respect to the Poly Services covered by that Customer Agreement. For clarity, if any portion of the Website permits access to API credentials, tenants, authenticated developer resources, customer environments, sandbox environments, beta environments, evaluation environments, or other product-adjacent functionality, that access is part of the Poly Services and is governed by the applicable Customer Agreement or other product-specific terms, not these Terms, unless expressly stated otherwise.

Public technical documentation, code examples, API references, SDK references, release notes, videos, roadmaps, and similar materials made available on the Website are provided for informational and enablement purposes only. They do not expand, modify, or replace the terms of any Customer Agreement unless the applicable Customer Agreement expressly states otherwise.

3. Privacy and Cookies

Poly’s collection, use, disclosure, and other processing of personal information through the Website is described in Poly’s Privacy Policy. Poly’s use of cookies, scripts, pixels, beacons, and similar technologies is described in Poly’s Cookie Policy and any cookie preference tools made available on the Website. By using the Website, you acknowledge that your information will be handled as described in those policies.

4. Changes to These Terms

We may revise and update these Terms from time to time in our discretion. The updated Terms will be effective when posted on the Website, unless a later effective date is stated. Your continued use of the Website after revised Terms are posted means that you accept and agree to the revised Terms. You are responsible for reviewing these Terms periodically.

5. Access to the Website; Availability

We may withdraw, suspend, modify, or restrict access to all or any part of the Website at any time without notice. We will not be liable if the Website or any content, functionality, or materials are unavailable at any time or for any period. You are responsible for making all arrangements necessary for you to access the Website and for ensuring that anyone who accesses the Website through your internet connection complies with these Terms.

Certain portions of the Website may require you to provide contact information, request access, join a community, register for an event, download materials, or create credentials. You agree that all information you provide to Poly through the Website will be accurate, current, and complete, and you will not impersonate any person or entity or misrepresent your affiliation with any person or entity.

6. Accounts and Security

If you create or receive any username, password, token, invitation link, community credential, or other access credential in connection with the Website, you must keep it confidential and may not share it with any other person or entity. You are responsible for all activity occurring under your credentials, except to the extent caused by Poly’s gross negligence or willful misconduct. You must promptly notify Poly of any unauthorized access, credential compromise, or suspected security incident involving the Website.

We may disable any username, password, token, invitation, or other identifier at any time if we believe you have violated these Terms, created risk for Poly or others, or used the Website in a manner inconsistent with its intended purpose.

7. Intellectual Property Rights

The Website and its content, features, and functionality, including text, software, code samples, documentation, diagrams, screenshots, user interfaces, graphics, images, videos, audio, designs, selections, arrangements, compilations, and other materials, are owned by Poly, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property and proprietary rights laws.

Subject to your compliance with these Terms, Poly grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Website and to download or print reasonable copies of publicly available Website materials solely for your internal business evaluation, informational, or non-commercial purposes. This license does not include access to or use of the Poly Services, which is governed by the applicable Customer Agreement.

Except as expressly permitted by these Terms or by a Customer Agreement, you may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, scrape, download, store, transmit, frame, mirror, sell, resell, license, or exploit any part of the Website or any Website materials. No right, title, or interest in or to the Website or any Website materials is transferred to you, and all rights not expressly granted are reserved by Poly and its licensors.

8. Trademarks

Poly, PolyAPI, the Poly logo, and all related names, logos, product and service names, designs, and slogans are trademarks or service marks of Poly or its affiliates or licensors. You may not use those marks without Poly’s prior written permission. All other names, logos, product and service names, designs, and slogans appearing on the Website are the property of their respective owners.

9. Documentation, Examples, Roadmaps, and Informational Content

The Website may include technical documentation, API examples, SDK references, generated code examples, architecture diagrams, implementation guidance, release notes, roadmap information, white papers, videos, blog posts, case studies, and other informational materials. Such materials are provided for general informational purposes only and may be incomplete, out of date, or subject to change.

You are responsible for independently evaluating whether any information, example, configuration, workflow, script, integration pattern, API call, or other Website material is appropriate for your systems, security requirements, regulatory obligations, and business needs. Poly does not represent that Website materials are sufficient for production use, error-free, secure, complete, or suitable for any particular implementation.

Any roadmap, preview, beta, future feature, availability, pricing, performance, or similar statement on the Website is provided for informational purposes only and does not create any commitment to deliver any product, feature, service level, support level, or functionality. Poly may change or discontinue any Website content, product plans, or features at any time.

10. Acceptable Use and Prohibited Conduct

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Website in any way that violates any applicable law or regulation, including laws regarding data privacy, export controls, sanctions, and intellectual property.

  • Access or use the Website to develop or support a competing product or service in a manner that misappropriates Poly’s confidential information, trade secrets, or proprietary materials.
  • Use any robot, spider, scraper, crawler, data-mining tool, automated script, or other automated means to access, monitor, copy, harvest, train on, or extract data from the Website, except to the extent expressly permitted by Poly in a written agreement. Poly’s use of robots.txt files, headers, metadata, or similar technical instructions does not waive or limit any rights or restrictions under these Terms.
  • Attempt to gain unauthorized access to, interfere with, damage, disrupt, probe, scan, or test the vulnerability of any part of the Website, any Poly system, or any server, network, database, account, API, or other resource connected to the Website.
  • Introduce viruses, worms, Trojan horses, logic bombs, malware, malicious code, or other technologically harmful material.
  • Attack, overload, flood, spam, mailbomb, or otherwise interfere with the proper working of the Website or any systems connected to it.
  • Bypass, disable, remove, or interfere with any security, rate-limiting, access-control, monitoring, authentication, or usage-restriction mechanism.
  • Use Website forms, community features, or contact channels to transmit spam, unsolicited marketing, unlawful content, misleading information, or content that is defamatory, obscene, harassing, abusive, hateful, threatening, or otherwise objectionable.
  • Impersonate Poly, a Poly employee, another user, or any other person or entity, or misrepresent your identity, credentials, authority, or affiliation.
  • Submit confidential, sensitive, regulated, or third-party proprietary information through public Website forms or community channels unless Poly expressly requests that information through a secure channel.
  • Remove, obscure, or alter any proprietary rights notices, legal notices, or source identifiers from the Website or any Website materials.
  • Use the Website in any manner that could damage Poly, its customers, its partners, other users, or the security, availability, reputation, or integrity of any Poly or third-party systems.
  • 11. User Submissions and Feedback

    The Website may allow you to submit comments, messages, requests, resumes, community posts, questions, feedback, ideas, suggestions, content, code snippets, files, or other materials (collectively, “Submissions”). You are solely responsible for your Submissions and represent that you have all rights necessary to provide them to Poly and to grant the rights described in these Terms.

    Unless otherwise expressly agreed in a written agreement signed by Poly, you should not submit confidential, proprietary, sensitive, regulated, or personal information through public Website channels. Any Submissions you provide through the Website will be treated as non-confidential and non-proprietary, except to the extent required by applicable law or described in Poly’s Privacy Policy. Notwithstanding the foregoing, resumes, job applications, and personal information submitted through careers, recruiting, or employment-related channels will be handled in accordance with Poly’s Privacy Policy and applicable law, and Poly does not claim ownership of those materials.

    By providing Submissions (excluding resumes, job applications, and personal information), you grant Poly and its affiliates, service providers, successors, and assigns a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to use, reproduce, modify, create derivative works of, perform, display, distribute, disclose, and otherwise exploit the Submissions for any lawful business purpose, including operating, improving, securing, marketing, and developing Poly’s products, services, and Website. To the extent your Submission is feedback, suggestions, ideas, or recommendations about Poly, the Website, or the Poly Services (“Feedback”), you agree that Poly may use and incorporate the Feedback without restriction, attribution, or compensation to you.

    You agree that your Submissions will not violate applicable law; infringe, misappropriate, or violate any intellectual property, privacy, publicity, contractual, or other rights; include malware or harmful code; or contain content that is unlawful, misleading, defamatory, obscene, harassing, abusive, hateful, threatening, or otherwise objectionable.

    12. Monitoring, Enforcement, and Termination

    We may monitor use of the Website, remove or refuse to post Submissions, suspend or terminate access, disable credentials, investigate suspected violations, and take any action we deem necessary or appropriate to protect Poly, the Website, Poly customers, other users, or third parties. We may cooperate with law enforcement, regulators, courts, and third parties in connection with suspected unlawful or unauthorized use of the Website.

    We do not undertake to review all material before it is posted or transmitted and are not responsible for any action or inaction regarding communications, content, or Submissions provided by any user or third party.

    13. Copyright Complaints

    If you believe that any content on the Website infringes your copyright, you may send a notice to Poly at jake@polyapi.io or to the mailing address listed below. Your notice should include: (a) your physical or electronic signature; (b) identification of the copyrighted work claimed to have been infringed; (c) identification of the material claimed to be infringing and information reasonably sufficient for Poly to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that use of the material is not authorized by the copyright owner, its agent, or the law; and (f) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner.

    Poly may remove or disable access to allegedly infringing material and may terminate accounts or access for repeat infringers where appropriate.

    14. Third-Party Sites, Services, Communities, and Content

    The Website may link to or integrate with third-party websites, platforms, communities, social networks, marketplaces, video platforms, analytics services, content, tools, or resources. These third-party resources are provided for convenience only. Poly does not control and is not responsible for third-party resources, and your use of them is at your own risk and subject to the applicable third party’s terms and policies.

    References to third-party products, services, partners, or integrations and any customer names, logos, testimonials, quotes, case studies, or examples appearing on the Website are provided for informational and marketing purposes only and do not imply any endorsement, sponsorship, affiliation, or recommendation except as expressly stated. Poly is responsible for ensuring that any such materials are used with appropriate permission and in accordance with applicable law.

    15. Linking to the Website

    You may link to the Website in a fair and legal manner that does not damage Poly’s reputation or suggest any association, approval, sponsorship, or endorsement by Poly without Poly’s prior written consent. You may not frame, mirror, inline-link, or otherwise display the Website or any part of it on another site or service in a manner that suggests Poly’s endorsement or obscures the source of the content. We may withdraw linking permission at any time.

    16. Purchases, Marketplace Listings, and Shop

    The Website may include links to pricing pages, marketplace listings, order flows, demos, contact forms, or a Poly shop. Any purchase of Poly Services is governed by the applicable Customer Agreement, order form, marketplace terms, or other purchasing terms presented or agreed in connection with the transaction. Any purchase of merchandise or other non-service items through a separate shop or third-party storefront may be governed by additional terms presented by that storefront or provider. These Terms do not create an obligation for Poly to provide any Poly Services or merchandise.

    17. Export Controls and Sanctions

    You may not access or use the Website in violation of U.S. export control laws, sanctions, or other trade restrictions. You represent that you are not located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions, and that you are not listed on any U.S. government restricted-party list.

    18. International Visitors

    Poly is based in the United States and provides the Website from the United States. We make no representation that the Website or any Website content is appropriate or available for use in all jurisdictions. If you access the Website from outside the United States, you do so on your own initiative and are responsible for compliance with local laws.

    19. Disclaimer of Warranties

    TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL WEBSITE CONTENT, FUNCTIONALITY, MATERIALS, DOCUMENTATION, EXAMPLES, LINKS, AND OTHER ITEMS MADE AVAILABLE THROUGH THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

    WITHOUT LIMITING THE FOREGOING, POLY DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, SECURITY, ACCURACY, COMPLETENESS, AVAILABILITY, ERROR-FREE OR UNINTERRUPTED OPERATION, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. POLY DOES NOT WARRANT THAT THE WEBSITE, WEBSITE CONTENT, OR ANY FILES OR MATERIALS AVAILABLE FOR DOWNLOAD WILL BE FREE FROM VIRUSES, MALWARE, OR OTHER HARMFUL COMPONENTS.

    You are responsible for implementing appropriate security, backup, validation, testing, and other measures to satisfy your requirements before relying on, downloading, configuring, or using any Website materials.

    20. Limitation of Liability

    TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL POLY, ITS AFFILIATES, OR ITS OR THEIR LICENSORS, SERVICE PROVIDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SUPPLIERS, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, ENHANCED, OR PUNITIVE DAMAGES; LOSS OF REVENUE, PROFITS, BUSINESS, ANTICIPATED SAVINGS, GOODWILL, DATA, OR USE; BUSINESS INTERRUPTION; OR COST OF SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATING TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR ANY WEBSITE CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF POLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

    TO THE FULLEST EXTENT PERMITTED BY LAW, POLY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100). The limitations in this Section do not apply to liability that cannot be excluded or limited under applicable law, including liability arising from Poly’s gross negligence, willful misconduct, fraud, or intentional violation of law.

    21. Indemnification

    To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Poly and its affiliates, and its and their respective officers, directors, employees, contractors, agents, service providers, licensors, successors, and assigns, from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to your violation of these Terms, your Submissions, your misuse of the Website, or your use of Website content other than as expressly authorized. This indemnity does not apply to the extent a claim is caused by Poly’s gross negligence, willful misconduct, or violation of applicable law.

    22. Governing Law and Venue

    These Terms and any dispute arising out of or relating to the Website are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any legal suit, action, or proceeding arising out of or relating to these Terms or the Website will be brought exclusively in the state or federal courts located in Denver, Colorado, and you consent to personal jurisdiction and venue in those courts.

    23. Limitation on Time to File Claims

    To the fullest extent permitted by law, any claim or cause of action arising out of or relating to these Terms or the Website must be filed within one year after the claim or cause of action accrues, or it will be permanently barred. This Section does not limit any claim period that may not be shortened under applicable law.

    24. Waiver and Severability

    No waiver by Poly of any term or condition in these Terms will be deemed a further or continuing waiver of that term or condition or a waiver of any other term or condition. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be eliminated or limited to the minimum extent necessary so that the remaining provisions continue in full force and effect.

    25. Entire Agreement

    These Terms, together with the Privacy Policy, Cookie Policy, and any other policies or notices expressly incorporated by reference, constitute the sole and entire agreement between you and Poly regarding the Website. They supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Website. For clarity, these Terms do not supersede any Customer Agreement with respect to the Poly Services.
